1. Acceptance of Terms

2. Description of Services

Sovereign Systems LLC provides business automation, CRM configuration, marketing funnel development, lead generation, and related digital marketing services to small and medium-sized businesses. Specific deliverables, timelines, and fees are outlined in individual service agreements or statements of work entered into with each client.

3. Service Agreements and Payment

Clients who engage our Services agree to the fees and payment schedule specified in their individual service agreement. Monthly retainer fees are due on the first of each month and are non-refundable unless otherwise stated in writing. Setup fees are non-refundable once work has commenced. We reserve the right to suspend or terminate services for accounts that are more than 15 days past due.

4. Client Responsibilities

Clients are responsible for:

• Providing accurate business information, branding assets, and access credentials required to deliver the Services
• Ensuring that all contact lists and data provided to us comply with applicable laws, including the Telephone Consumer Protection Act (TCPA) and CAN-SPAM Act
• Obtaining proper consent from their own customers before those customers are enrolled in SMS or email communications
• Reviewing and approving all content, automations, and campaigns before they go live

5. Intellectual Property

All content on this website, including text, graphics, logos, and software, is the property of Sovereign Systems LLC and is protected by applicable intellectual property laws. Custom deliverables created for a client (such as landing pages, workflows, and copy) become the client's property upon full payment of all outstanding fees.

6. Disclaimer of Warranties

Our Services are provided on an "as is" and "as available" basis. We make no warranties, express or implied, regarding the results of our Services, including but not limited to lead volume, conversion rates, or revenue outcomes. Marketing results depend on numerous factors outside our control, including market conditions, client follow-through, and third-party platform performance.

7. Limitation of Liability

To the fullest extent permitted by law, Sovereign Systems LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our website or Services. Our total liability to any client shall not exceed the total fees paid by that client in the three months preceding the claim.

8. Confidentiality

Both parties agree to keep confidential any proprietary or sensitive business information shared in connection with the Services. This obligation survives the termination of any service agreement for a period of two (2) years.

9. Termination

Either party may terminate a service agreement with 30 days written notice. Upon termination, the client will retain access to all custom deliverables that have been fully paid for. We reserve the right to terminate services immediately for cause, including non-payment, abusive conduct, or violation of these Terms.

10. Governing Law

These Terms & Conditions shall be governed by and construed in accordance with the laws of the Commonwealth of Virginia, without regard to its conflict of law provisions. Any disputes shall be resolved in the courts of Loudoun County, Virginia.

11. Changes to These Terms

We reserve the right to modify these Terms & Conditions at any time. Updated terms will be posted on this page with a revised "Last updated" date. Continued use of our Services after changes are posted constitutes acceptance of the revised terms.
